Terms of Service

1. Acceptance of these Terms

These Terms of Service ("Terms") are a binding agreement between you and CRE Redline ("we," "us," or the "Service"). By creating an account or using the Service, you accept these Terms. If you are using the Service on behalf of a company, you represent that you have authority to bind that company, and "you" refers to it.

2. The Service

CRE Redline is a negotiation-tracking tool for commercial lease documents. You upload documents for a deal — including redline rounds with tracked changes — and the Service extracts the changes, displays them verbatim alongside AI-generated interpretations and suggestions, maintains a record of items you accept, and produces exports such as counter memos, letters of intent, and lease abstracts. The diff of changes is computed from the revision marks in your documents; AI output is presented as suggestions for your review.

You need an account to use the Service, registered with a valid email address you control. You are responsible for activity under your account and for keeping access to your email secure, since we authenticate by emailed sign-in codes. Notify us promptly at hello@creredline.com if you believe your account has been compromised. We may suspend or close accounts that violate these Terms.

5. Payment

Your first deal is free and full-featured, with no payment card required. Each deal after that requires a one-time payment of $79 (or the price displayed at checkout), which covers that deal through closing: unlimited redline rounds, the LOI generator, the lease abstract, and all exports. There is no subscription and no recurring charge. Payments are processed by Stripe; we do not store your card details.

Because the substance of the Service is delivered as soon as a deal's analysis has run, payments are non-refundable once analysis has been performed for a paid deal, except where a refund is required by applicable law. If you paid for a deal and were unable to run any analysis on it, contact us at hello@creredline.com and we will make it right.

6. Your Documents

You retain all ownership of the documents you upload and the content of your deal records. You grant us a limited license to store and process your documents solely to provide the Service to you — including transmitting document content to the Anthropic API for AI analysis. We do not sell your documents or your data, and we do not use your documents to train AI models. You represent that you have the right to upload the documents you submit.

7. Acceptable Use

You agree not to:

• use the Service in violation of any law or third-party right;
• upload documents you have no right to possess or process;
• attempt to probe, disrupt, or gain unauthorized access to the Service or other users' data;
• resell or provide the Service to third parties as your own offering without our written agreement;
• use automated means to extract data from the Service other than the exports it provides.

8. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that output will be accurate, complete, or suitable for any particular deal.

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost deals, or lost data. Our total aggregate liability arising out of or relating to the Service is capped at the amounts you paid us in the twelve months before the claim arose. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

9. Termination

You may stop using the Service and request deletion of your account and data at any time by emailing hello@creredline.com. We may suspend or terminate your access for violation of these Terms, with notice where practicable. Sections 3, 6, 8, and 10 survive termination.

10. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in California, and both parties consent to their jurisdiction.

11. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will notify you by email or in the product before it takes effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
